Company registration for foreigners in Georgia: this guide explains the applicable rights, rules, documents and procedures using official sources.
A foreign national may be a founder, 100% shareholder and director of a Georgian company. As a general rule, no Georgian partner, resident director or minimum charter capital is required. The limited liability company (LLC) is the most common form.
Decisions before filing
Select a unique name, business scope, shareholders and percentages, director and sole/joint representation rule, and an actual legal address in Georgia. Decide whether to use the standard statute or bespoke articles.
Documents
- registration application and instrument of incorporation/articles;
- valid passport and equivalent identification data of the foreign founder;
- the director’s consent unless included in the incorporation document;
- certified consent of the property owner or a valid address-use agreement;
- power of attorney if a representative files;
- for a foreign corporate founder, registry and constitutional documents and proof of representation.
Foreign documents may require apostille/legalisation and certified Georgian translation.
Filing, timing and fee
File with NAPR, commonly through a Public Service Hall. An LLC costs GEL 200 in one working day or GEL 400 on the filing day. Registration creates the company and includes state and tax registration; an identification number is issued.
After incorporation
Verify the registry extract, activate Revenue Service access, set up accounting, payroll and filing calendars, and assess VAT and licensing. Company registration does not automatically open a bank account: the bank conducts AML/KYC checks on the ultimate beneficial owner, business model, counterparties and source of funds.
Residence and work rights
Share ownership or appointment as director does not automatically confer residence or work authorisation. The foreign national’s immigration position and the labour-migration rules effective from 1 March 2026 require separate review.
